Dear developers, thank you for your interest in licensing our
clip-art maps. We offer 3 levels of pricing to software developers:
Tier 1 and 2 are one time only, royalty free licenses, Tier 3
is a yearly and/or royalty based agreement. All of our licenses
allow for the modifying of the collection as need be by the developer.
Maps can be included in the product, on the packaging and in the
documentation.

Three Levels of Licensing
- Tier 1 - this level allows the developer to use our
collections in a product that doesn't allow the maps to be printed
out by the end-user. Such as a flash screen, multi-media, database,
or educational product that requires maps. License
Agreement #1 , Price is $499.
- Tier 2 - this level allows for your end-user to be
able to print out a map from a screen display in a bit-map, non-vector
form. License Agreement #2 Price
is $699.
- Tier 3 - this level is the most complete. It allows
for the printing out of our maps by the end-user in an editable
form, either vector or non-vector. This would allow your end-user
to be able to place maps into their writing, desktop publishing
or graphic/illustration programs in an editable format. Tier
3 is priced on a quote basis only.
- Our entire collection can also be licensed to be included

Developers TIER 1 SOFTWARE
LICENSE AGREEMENT
This Agreement is made this _____________ day of _________________,
200__, between (i) BRUCE JONES DESIGN, INC. ("BJD"),
located at 661 Washington Street, Norwood, Massachusetts, 02062, and
(ii)________________________________________________ ("Publisher"),
located at _______________________________________________________________________,
who, intending to be legally bound, hereby agree as follows:
1. INTRODUCTION
1.1 BJD owns the proprietary clip art map library computer program
known as MAPS! MAPS! MAPS!, which includes a World Map Library,
a USA State Map Library and a World Hot Spot Map Library. MAPS!
MAPS! MAPS! enables users to select, modify and print out one
or more maps representing countries of the world and states of
the United States; and
1.2 Publisher publishes educational, business and/or entertainment
software products and wishes to use MAPS! MAPS! MAPS! for the
purpose of creating and modifying maps to be included in one or
more of Publisher's products in the form of screen displays and/or
illustrations in accompanying user documentation.
2. LICENSE
2.1 Grant. In consideration of Publisher's payment of the license
fee set forth in Section 3, BJD hereby grants to Publisher, and
Publisher hereby accepts, a nonexclusive, nontransferable license
to use MAPS! MAPS! MAPS! solely for the purpose of selecting,
modifying and generating maps contained in any of the three (3)
MAPS! MAPS! MAPS! Map Libraries. Publisher is authorized to include
such maps, in the form of screen displays and illustrations in
user documentation, in any computer software product on diskette
and/or CD-ROM, other than a clip art product, which Publisher
may market now or in the future. Publisher shall have a worldwide
right to market any Publisher product including one or more maps
created using MAPS! MAPS! MAPS! in accordance with this Agreement.
For purposes of this Agreement, any product which enables product
users to print one or more maps selected from any MAPS! MAPS!
MAPS! Map Library, regardless of whether or not Publisher or the
user has modified any such map, shall be deemed a clip art product.
A separate license must be obtained from BJD, at BJD's then current
license fee, in order to include maps from the MAPS! MAPS! MAPS!
Map Libraries in one or more clip art products.
2.2 Copy Restrictions. MAPS! MAPS! MAPS! and the maps included
in each of the product's Map Libraries are subject to copyrights
owned by BJD. Accordingly, Publisher shall not copy MAPS! MAPS!
MAPS! except as necessary to exercise the rights granted in Section
2.1 hereof and to maintain (1) one copy of MAPS! MAPS! MAPS! for
back-up, archive purposes. Publisher is expressly prohibited from
including in any Publisher product any map from any MAPS! MAPS!
MAPS! Map Library in any manner that would permit a user of such
Publisher product to print copies of such maps.
3. LICENSE FEE
In return for the rights granted in Section 2 hereof, Publisher
shall pay BJD a one-time license fee of US$299.00. Such fee shall
be due and payable within ten (10) days after Publisher's receipt
and signature of this Agreement; provided, however, that if Publisher
has not signed and returned to BJD a copy of this Agreement together
with payment in full of the one-time license fee by the tenth
day after Publisher's receipt of this Agreement, Publisher shall
have no further right to possession or use of MAPS! MAPS! MAPS!
Publisher shall thereupon return MAPS! MAPS! MAPS! to BJD at Publisher's
expense and shall purge all copies of the product from any computer
upon which Publisher installed the product.
4. OWNERSHIP
Subject to the rights granted to Publisher in this Agreement,
BJD retains all right, title and interest in and to MAPS! MAPS!
MAPS! and to all maps in each MAPS! MAPS! MAPS! Map Library. This
license agreement shall not be deemed a sale of MAPS! MAPS! MAPS!
or any component thereof.
5. LIMITED WARRANTY
5.1 Limited Warranty. BJD warrants that the diskettes or other
media on which MAPS! MAPS! MAPS! is furnished are free of defects
in materials and workmanship under normal use for a period of
thirty (30) days after the date of this Agreement. This limited
warranty, subject to the exclusive remedy and the disclaimer set
forth below, grants specific legal rights. Other legal rights
may arise from state laws.
5.2 Exclusive Remedy. In the event that MAPS! MAPS! MAPS! fails
to perform as warranted in Section 5.1, Publisher's sole and exclusive
remedy, and BJD's only liability, shall be prompt replacement
of the product so long as all components of the product have been
returned to BJD, at Publisher's expense, prior to expiration of
the thirty (30) day warranty period.
5.3 Disclaimer. The foregoing limited warranty is given in lieu
of, and Publisher hereby waives, ANY AND ALL other EXPRESS warranties
regarding MAPS! MAPS! MAPS! iN ADDITION, BJD HEREBY EXPRESSLY
LIMITS THE DURATION OF ALL implied warranties, INCLUDING BUT NOT
LIMITED TO THE IMPLIED WARRANTIES of Merchantability, fitness
for a particular purpose and noninfringement, TO THE PERIOD FOR
WHICH THE LIMITED WARRANTY IN SECTION 5.1 IS GIVEN.
6. TERMINATION
The term of this Agreement is perpetual except that BJD reserves
the right to terminate it if Publisher breaches any material term.
Termination will occur thirty (30) days after BJD gives Publisher
written notice of a breach if Publisher has not cured the breach
by that time.
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL BJD BE LIABLE FOR LOSS OF PROFITS OR ANY INDIRECT,
SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES INCURRED BY PUBLISHER
AND ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT. BJD'S
ENTIRE LIABILITY TO PUBLISHER UNDER THIS AGREEMENT, INCLUDING
LIABILITY ARISING OUT OF BREACH OF CONTRACT (INCLUDING BUT NOT
LIMITED TO BREACH OF WARRANTY) AND TORT (INCLUDING BUT NOT LIMITED
TO NEGLIGENCE AND STRICT LIABILITY), SHALL IN NO EVENT EXCEED
THE AMOUNT OF THE ONE-TIME LICENSE FEE PAID BY PUBLISHER TO BJD
IN ACCORDANCE WITH SECTION 3 HEREOF. SOME STATES DO NOT ALLOW
LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL
DAMAGES.
8. MISCELLANEOUS PROVISIONS
8.1 Entire Agreement. This Agreement is the entire Agreement between
the parties concerning the subject matter hereof and supersedes
all other writings, communications (whether oral or written),
agreements, representations and proposals relating to the subject
matter of this Agreement.
8.2 Modifications. No modification or amendment of this Agreement
will be effective until and unless it is reduced to writing and
signed by both parties. Neither this Agreement nor the License
granted herein may be assigned by Licensee without Licensor' prior
written consent and any attempted assignment without such consent
shall be void.
8.3 Governing Law. This Agreement shall be governed, both as to
its construction and performance, by the laws of the Commonwealth
of Massachusetts, excluding that body of law governing conflicts
of law. All legal actions regarding this Agreement must be brought
in federal or state courts in the Commonwealth of Massachusetts,
and Publisher hereby consents to the jurisdiction of such courts.

LICENSE AGREEMENT
This Agreement is made this _____________ day of _________________,
200__, between (i) BRUCE JONES DESIGN, INC. ("BJD"),

(ii)________________________________________________ ("Publisher"),
located at ____________________________________________________________________,
who, intending to be legally bound, hereby agree as follows:

MAPS! MAPS! enables users to select, modify and print out one

1.2 Publisher publishes educational, business and/or entertainment
software products and wishes to use MAPS! MAPS! MAPS! for the
purpose of creating and modifying maps to be included in one or
more of Publisher's products in the form of screen displays and/or
illustrations in accompanying user documentation in a manner that
will permit users of Publisher's products to print out one or
more such maps in unmodified form.
2. LICENSE
2.1 Grant. In consideration of Publisher's payment of the license
fee set forth in Section 3, BJD hereby grants to Publisher, and
Publisher hereby accepts, a nonexclusive, nontransferable license
to use MAPS! MAPS! MAPS! solely for the purpose of selecting,
modifying and generating maps contained in any of the three (3)
MAPS! MAPS! MAPS! Map Libraries. Publisher is authorized to include
such maps, in (a) non-editable screen displays that may be printed
to a printer or exported out in non-vector, bit-map form by users
of Publisher's products and (b) illustrations in user documentation,
in any computer software product on diskette and/or CD-ROM. Publisher
shall have a worldwide right to market any Publisher product including
one or more maps created using MAPS! MAPS! MAPS! in accordance
with this Agreement. A separate license must be obtained from
BJD, at BJD's then current license fee, in order to include maps
from the MAPS! MAPS! MAPS! Map Libraries in a form which can be
edited by users of Publisher's products.
2.2 Copy Restrictions. MAPS! MAPS! MAPS! and the maps included
in each of the product's Map Libraries are subject to copyrights
owned by BJD. Accordingly, Publisher shall not copy MAPS! MAPS!
MAPS! except as necessary to exercise the rights granted in Section
2.1 hereof and to maintain (1) one copy of MAPS! MAPS! MAPS! for
back-up, archive purposes. Nothing herin is intended to prohibit
Publisher from including in any Publisher product one or more
maps in bit-map form from any MAPS! MAPS! MAPS! Map Library in
any manner that would permit a user of such Publisher product
to print copies of such maps.
3. LICENSE FEE
In return for the rights granted in Section 2 hereof, Publisher
shall pay BJD a one-time license fee of US$499.00. Such fee shall
be due and payable within ten (10) days after Publisher's receipt
and signature of this Agreement; provided, however, that if Publisher
has not signed and returned to BJD a copy of this Agreement together
with payment in full of the one-time license fee by the tenth
day after Publisher's receipt of this Agreement, Publisher shall
have no further right to possession or use of MAPS! MAPS! MAPS!
Publisher shall thereupon return MAPS! MAPS! MAPS! to BJD at Publisher's
expense and shall purge all copies of the product from any computer
upon which Publisher installed the product.
